1. EXHIBITING TERMS
a) The exhibitor agrees to comply with all rules and regulations established by ExhibitIQ Media Inc. acknowledges that ExhibitIQ Media Inc. reserves the final authority to implement any rules deemed necessary before, during, and after the show.
b) The exhibitor agrees to adhere to all applicable union contracts and labor agreements in effect, including those between ExhibitIQ Media Inc., official contractors, and the facility operators, as well as all relevant labor laws of the jurisdiction. The exhibitor shall not engage in any activity, directly or indirectly related to their display, that violates any laws, bylaws, ordinances, or regulations set by any governing or regulatory authority.
c) The exhibitor agrees to comply with all provisions of the Ontario Occupational Health and Safety Act. The exhibitor is responsible, at its own cost, for obtaining any required licenses or permits from government bodies, trade or industry associations, or other relevant parties for conducting business during the show, and for paying all applicable taxes related to operations within their allocated space.
d) The exhibitor agrees not to organize or be associated with any promotional contest offering prizes exceeding $50 in value unless (i) it demonstrates to ExhibitIQ Media Inc. that the contest complies with applicable laws, and (ii) provides a letter of credit or other acceptable security covering the full value of the prizes.
e) The exhibitor agrees to comply with all non-smoking policies in effect at the venue and to ensure that its officers, employees, agents, and any individuals under its responsibility also adhere to such regulations.
2. EXHIBITOR PROPERTY
a) All property belonging to the exhibitor at the show shall be at the sole risk of the exhibitor.
b) ExhibitIQ Media Inc. shall not be liable for any loss, theft, or damage to the exhibitor’s property under any circumstances.
3. EXHIBIT
a) The exhibitor agrees to occupy the contracted exhibit space for the entire duration of the show and to display only the products specified in this contract.
b) ExhibitIQ Media Inc. reserves the sole and absolute right to (i) determine the eligibility of exhibitors and exhibits for the show, (ii) refuse or prohibit any exhibitor or exhibit it deems objectionable, and (iii) relocate exhibitors or exhibits when, in its opinion, such action is necessary to preserve the character and proper order of the show.
4. SUBLETTING OF BOOTH
a) The exhibitor shall not transfer any rights under this agreement or sublet the assigned space without the prior written consent of ExhibitIQ Media Inc., which may be withheld at its sole discretion
5. INDEMNITY
a) The exhibitor assumes all risks related to the use of the exhibit space and surrounding areas. The exhibitor agrees not to make any claim, demand, or take legal action against ExhibitIQ Media Inc., the show sponsors, or the venue for any loss, damage, or injury to the exhibitor, its officers, employees, agents, or property.
b) The exhibitor agrees to indemnify and hold harmless ExhibitIQ Media Inc., the show sponsors, and the venue, including their respective officers, agents, and employees, from and against all claims, expenses, and liabilities arising from the exhibitor’s use or occupancy of the exhibit space or surrounding areas, including personal injury, death, property damage, or any other loss suffered by the exhibitor, its officers, agents, employees, those for whom they are legally responsible.
6. INSURANCE
a) The exhibitor shall obtain and maintain, at its own expense, insurance coverage from the first move-in date through to the final move-out date, in a form acceptable to ExhibitIQ
b) The policy shall name ExhibitIQ Media Inc. as an additional insured and provide coverage against all claims arising out of or related to the exhibitor’s participation or activities at the show, with a minimum coverage of $2,000,000 per occurrence.
c) The exhibitor shall provide ExhibitIQ Media Inc. with a valid Certificate of Insurance prior to the move-in date
7. VENUE
a) The exhibitor is responsible for any damage caused to the venue, or to any property of ExhibitIQ Media Inc., its agents, visitors or other exhibitors.
b) The exhibitor may not apply paint, lacquer, adhesive, or any other coatings to the facility or to the property of ExhibitIQ Media Inc., its agents, or other exhibitors. Helium balloons and popcorn are also prohibited on the show floor.
8. CANCELLATION AND TERMINATION
a) This contract may only be cancelled with written notice submitted to ExhibitIQ Media Inc. All deposits received prior to the date of cancellation are non-refundable. If notice of cancellation is submitted within 6 months prior to the event commencing date, the exhibitor remains liable for full payment of the space rental under this contract while earlier cancellations before 6 months will be subject to a 50% cancellation fee.
9. PAYMENT TERMS
a) An initial down payment of 50% is due within 14 days of invoice receipt. The remaining balance is due as per the date specified on the invoice.
b) If the exhibitor fails to make payment as required or otherwise fails to comply with the terms of this contract, ExhibitIQ Media Inc. reserves the right to cancel the contract without notice. In such cases, all rights of the exhibitor under this agreement will cease, and any payments made will be retained by Show Management as liquidated damages. Failure to appear at the event does not relieve the exhibitor of responsibility for payment in full for the rented space.
10. DERIGGING / TEAR DOWN
a) The contracting company shall be responsible for ensuring that its designated key personnel are present and available during all scheduled dismantling and teardown periods
b) Any exhibitor who begins packing or dismantling their booth before the official show closing will be subject to a $1,000 fee and may, at the organizer’s sole discretion, risk its eligibility to participate in future events
11. CHEQUES NOT HONORED
a) If an exhibitor’s cheque is returned by a bank due to insufficient funds, a $50 administration fee will be charged to the exhibitor.
12. FORCE MAJEURE
a) If the facility hosting the show is destroyed or becomes unavailable for occupancy due to circumstances beyond the control of ExhibitIQ Media Inc. or the sponsors, or if ExhibitIQ Media Inc. is unable to permit the exhibitor to occupy the space, or if the show is cancelled or curtailed, neither ExhibitIQ Media Inc. nor the sponsors shall be liable for any loss of business, profits, damage, or expenses incurred by the exhibitor.
b) Such circumstances include, but are not limited to: casualty, explosion, fire, lightning, flood, weather, epidemic, earthquake, Acts of God, acts of public enemies, riots or civil disturbances, strikes, lockouts, or boycotts.
c) If ExhibitIQ Media Inc. is unable to produce Autoteknik Canada 2027 due to government or public health restrictions, exhibitors will have the option to transfer 100% of monies paid to other ExhibitIQ Media Inc. to Autoteknik Canada 2028 Event
